Ship's Terms — Terms & Conditions

Welcome aboard CueArr. These Terms and Conditions ("Terms") govern your use of CueArr's websites, mobile applications, CueArr services, and related offerings (collectively, the "Services"). By using our Services, you agree to be bound by these Terms. If you do not agree, you must not use CueArr.

1. Who We Are

CueArr Inc. ("CueArr", "we", "our", or "us") is a company registered in Canada. Our Services provide dynamic CueArrs that allow users to link and update personal, promotional, and creative content.

2. Eligibility & Accounts

• You must be at least the age of majority in your province or territory to use CueArr, or have parental/guardian consent if younger.
• You agree to provide accurate, complete information when creating an account and to keep your credentials secure.
• You are responsible for all activity under your account.

3. Use of Our Services

• You may create, share, and update CueArrs that link to digital content of your choice.
• You agree to comply with these Terms and all applicable Canadian laws when using our Services.
• You must not use CueArr for unlawful, harmful, or misleading purposes.

4. User Content & Ownership

• You retain all rights to the content you link, upload, or share through CueArr ("User Content").
• By using CueArr, you grant us a non-exclusive, royalty-free, worldwide license to host, display, distribute, and adapt your User Content solely as necessary to operate and improve the Services.
• You are solely responsible for your User Content. CueArr is not obligated to monitor or review it but reserves the right to remove or disable access if it violates these Terms.

5. Prohibited Uses

You agree not to use CueArr to:

• Share unlawful, harmful, defamatory, obscene, hateful, or discriminatory content.
• Infringe intellectual property or privacy rights of others.
• Link to malicious or fraudulent websites, scams, or harmful software.
• Impersonate others, misrepresent your identity, or interfere with CueArr's security or operations.

6. Privacy & Data

CueArr collects, uses, and protects personal information in accordance with our Privacy Policy and Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA).

By using our Services, you consent to such collection and use. Your data may be processed and stored in Canada or other jurisdictions where CueArr or its service providers operate.

7. Paid Services & Subscriptions (if applicable)

• Certain features may require payment. Pricing, billing, and renewal terms will be disclosed at purchase.
• Payments are final and non-refundable except where required by Canadian law.
• CueArr may change subscription fees with reasonable notice.

8. Suspension & Termination

• We may suspend or terminate your account if you breach these Terms or misuse our Services.
• You may delete your account at any time through the app or by contacting us.
• Content linked to your CueArrs may be removed upon termination.

9. Disclaimers

CueArr provides the Services "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted or error-free service, or that all CueArr links will always function as intended. CueArr is not responsible for third-party content or websites you may link to.

10. Limitation of Liability

To the maximum extent permitted by law, CueArr is not liable for indirect, incidental, special, or consequential damages arising from your use of the Services.

Our total liability to you for any claim will not exceed the greater of: (a) the amount you paid CueArr in the past 12 months, or (b) CAD $100.

11. Indemnification

You agree to indemnify and hold CueArr harmless from claims, losses, or damages (including legal fees) arising from your use of the Services, your User Content, or your violation of these Terms.

12. Governing Law & Disputes

These Terms are governed by the laws of Ontario, Canada, and applicable federal laws. Any disputes will be resolved in the courts of Ontario, unless binding arbitration is required by law.

13. Changes to These Terms

CueArr may update these Terms from time to time. Changes will be posted with a new "Effective Date." Your continued use of CueArr after changes means you accept the updated Terms.

14. General

• If any part of these Terms is found invalid, the remaining sections remain enforceable.
• These Terms are the entire agreement between you and CueArr regarding the Services.
• You may not transfer or assign your account or rights under these Terms without our consent.
